1. Parties

This Service Agreement (“Agreement”) is entered into between:

Service Provider:

SellInKSA – FBA Prep & Returns

Kingdom of Saudi Arabia

and

Client (“Seller”):

The Amazon seller submitting a service request, intake form, or quote request through SellInKSA.

2. Services Covered

This Agreement governs the following services:

• Amazon FBA Prep & Packaging Services

• Unfulfillable Removal & Returns Processing

3. Service Description

SellInKSA provides third-party logistics, inspection, recovery, and Amazon FBA preparation services.

SellInKSA:

• Receives seller-owned inventory

• Performs prep, inspection, labeling, and packaging

• Performs recovery actions only when authorized

• Releases inventory for shipment to Amazon

SellInKSA does not:

• Sell products

• Own inventory

• Act as seller of record

• Book shipping to or from Amazon

• Pay shipping charges on behalf of sellers

4. Inventory Ownership

All inventory remains the sole property of the seller at all times.

SellInKSA has no ownership interest, resale rights, or title to any seller inventory.

5. Seller Responsibilities

The seller agrees to:

• Provide accurate ASINs, SKUs, and quantities

• Submit correct prep instructions

• Create all Amazon inbound shipments

• Book Amazon-partnered carriers

• Pay all Amazon shipping charges

• Comply with Amazon policies

• Ensure products are authentic and compliant

6. Authorization of Services

No prep, refurbishment, resale, relabeling, or disposal is performed without seller authorization via:

• Intake form

• Quote acceptance

• Written confirmation (email or portal)

7. Pricing & Payment

• All pricing is service-only

• Pricing is published on sellinksa.com or quoted

• Volume discounts apply to service fees only

• Shipping costs are paid directly by the seller to Amazon

• Storage fees apply after free storage period

8. Inspection Limitations

SellInKSA performs:

• Visual inspection

• Basic functional checks (if applicable)

SellInKSA does not:

• Certify product safety

• Authenticate brands

• Verify regulatory compliance

9. Prohibited Inventory

SellInKSA does not accept:

• Counterfeit goods

• Restricted products

• Hazmat (unless pre-approved)

• Food, supplements, or pharmaceuticals

• Used goods for new listings

10. Shipping Responsibility

• Seller creates all inbound shipments in Seller Central

• Seller selects Amazon-partnered carrier

• Seller pays shipping directly to Amazon

• Amazon or its carrier collects inventory from SellInKSA

• SellInKSA does not control delivery routing or timing

11. Storage

• Free storage period applies (per service)

• Storage fees apply after free period

• Abandoned inventory may be disposed after notice

12. Liability Disclaimer

SellInKSA is not liable for:

• Manufacturer defects

• Amazon FC receiving errors

• Shipment delays

• Listing suspensions

• Lost profits or sales

13. Indemnification

Seller agrees to indemnify and hold SellInKSA harmless against:

• Product liability claims

• Compliance violations

• Customer harm

• Amazon enforcement actions

14. Governing Law

This Agreement is governed by the laws of the Kingdom of Saudi Arabia.

15. Acceptance

Seller accepts this Agreement by:

• Submitting an intake form

• Requesting a quote

• Using SellInKSA services
